These terms govern use of QORLYNT by businesses within section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Platform subscriptions are not offered to consumers.

1. Provider, scope and precedence
The contracting provider is Smart TB Tech UG (haftungsbeschränkt), Oberviehhausen 7, 84533 Haiming, Germany, represented by managing directors Bernhard Waldherr and Thomas Elbl; Amtsgericht Traunstein, HRB 34994. Contact: support@qorlynt.com, telephone +49 8678 4499811. QORLYNT is the provider’s product brand.
Individual agreements prevail. The service description and order confirmed at contract formation and these terms apply additionally. The separate Article 28 GDPR DPA is available at https://www.qorlynt.com/en/dpa; it becomes binding only through documented acceptance together with the applicable version of the standardized subprocessor register and prevails for its data-protection scope in case of conflict. Conflicting customer terms apply only with express agreement.
Booking a service with a QORLYNT customer does not create a contract for that service with Smart TB Tech. The relevant business is responsible for its services, prices, appointment conditions and any required consumer information.
2. Registration and contract formation
The person acting must be an adult and authorized to represent the customer. Company, contact and billing details must be accurate and current. Registration, reservation, demonstration or selecting a plan alone does not create a paid subscription.
Before a paid order, the plan, price, taxes, billing period, term, renewal, cancellation and essential limits are displayed. Customers may review and correct details before submission. Submitting a paid order is a binding offer. The contract is formed by our express acceptance or confirmed activation of the paid service; a mere receipt acknowledgement is insufficient.
Technical entitlements are activated based on confirmed contract and payment status. A checkout redirect alone does not prove payment or activation. Plans unavailable for purchase and planned offerings cannot be ordered merely by selecting them. Customers should retain contract documents and confirmation.
The available contract languages are German and English. These terms can be saved or printed in the browser. The public terms page does not promise permanent access to the full individual contract in the user account; the order and contract documents supplied for that transaction are authoritative. Our obligation to make the contractual provisions accessible and capable of being saved at contract formation remains unaffected.
3. Service scope and development status
QORLYNT is a cloud platform for appointment organization, contact management, business messaging, calendar integration, tasks, automations and optional AI assistance. Only functions expressly included and released in the purchased plan are owed. A catalog entry does not mean an integration works without setup or provider approval.
Personal setup may be purchased separately as a one-time paid service. After the order is confirmed, the appointment is arranged by e-mail and held on Microsoft Teams. The agreed service covers jointly setting up WhatsApp, a calendar and initial booking workflows; the customer provides the necessary third-party accounts and approvals. This service does not increase subscription allowances or guarantee third-party approval or availability. The order details and statutory remedies for service defects apply.
Features such as waiting lists, filling vacancies, team/resource planning, campaigns, AI or general mail and business-process automations depend on plan, authorization and setup. Native mobile apps and announced Industry, Edge or robotics features are included only by separate express agreement; displaying a roadmap does not create an entitlement.
QORLYNT is not an emergency, medical decision, safety-critical control or statutory archiving system. No particular commercial success, customer/appointment volume or error-free third-party result is guaranteed. Agreed functions and statutory remedies for service defects remain unaffected.
3a. Voice packages and AI telephone answering
Voice is an optional, separately confirmed subscription requiring an active paid QORLYNT base plan. Voice Start, Plus and Pro may be combined and purchased in multiple quantities within the offered limits; they share one managed telephone connection and one minutes allowance per business. Multiple quantities do not include multiple telephone numbers. The prices, taxes, quantities and billing intervals shown before ordering govern the purchase.
Monthly and annual billing are available. Annual Voice pricing equals twelve monthly payments; minutes renew monthly even with annual payment. Unused minutes do not roll over to the following Voice month. Base and Voice subscriptions have separate orders, billing and potentially renewal dates. Voice renews for its selected billing interval unless canceled before that interval ends; specific dates are shown before ordering and in subscription management. Changing the billing interval of an existing Voice subscription is not supported by the current purchase flow.
A public 14-day trial with Voice selected includes ten minutes in total, once for the entire trial, regardless of quantities or a change of calendar month. Selection alone creates no paid Voice subscription. Actual use requires completed setup, provider approvals and a provisioned number; these requirements do not automatically extend the trial. After the trial, Voice requires a separate paid order and confirmed payment.
Usage is derived from call duration and tracked in seconds. Admission reserves seconds up to the permitted maximum duration; confirmed unused reservations are released. An uncertain call ending can keep reserved usage until clarified. No additional AI calls are admitted when the allowance is exhausted, and calls end no later than the permitted limit. Explicitly purchased additional minutes apply to the current Voice usage period shown at purchase and do not renew automatically. No automatic overage packages are sold without an order.
Increases can create prorated invoices; added entitlements require confirmed payment. Reductions do not create an automatic prorated refund in the offered flow; already paid minutes remain until the applicable usage-period end. Statutory remedies for defective services remain unaffected. Selecting zero Voice quantities cancels the add-on at the end of its paid term. Cancellation or loss of the base plan affects continued Voice entitlement and renewal; the respective paid terms must be considered separately.
The business configures forwarding with its existing telephone provider and bears that provider’s agreed forwarding charges. Number approval and availability depend on provider review, evidence and number inventory. Number release and subscription cancellation are separate operations. Forwarding must be removed before release; a released number is not guaranteed to be available again. Loss of Voice entitlement initiates release after the intended seven-day recovery window, subject to an explicit release instruction already taking precedence.
The AI assistant answers approved business questions, proposes available appointments and books only after explicit confirmation; any required staff approval remains in place. Callback requests create tasks, not a promise of an actual callback. The customer maintains accurate opening hours, services, prices, staff and booking rules, informs callers about AI and privacy, and must not remove AI identification. Voice does not replace emergency answering or medical advice. Twilio/OpenAI use, required evidence and processing are additionally described in the privacy policy and DPA.
4. Access, team and usage rights
For the contract term, the customer receives a non-exclusive right to use QORLYNT for its own business purposes within agreed user, function and usage limits. Team members may act within assigned permissions. Reselling platform access or operating a platform for unrelated businesses requires agreement.
Customers must protect access, manage departing staff and promptly report apparent unauthorized access. They must not bypass tenant boundaries, access protection or usage checks. Mandatory statutory rights, including interoperability rights, remain unaffected.
Customers retain rights in their data and content. They grant us only the rights necessary to store, process, transmit and provide the requested functions. Rights in our software and third-party components remain with their owners.
5. Plans, allowances and additional purchases
The confirmed plan determines seats, contacts, bookings, messages and AI allowances. Existing subscriptions follow their confirmed plan version; a new public price card does not automatically change their scope.
Monthly usage allowances in the appointment/communication product follow the UTC calendar month unless the order expressly states otherwise. They differ from the payment period. Reservations may already consume booking units; later cancellation does not automatically restore them. Scheduled messages are counted in the sending month.
Actions may be blocked when limits are reached. Exceeding a limit alone does not trigger paid overages or automatic top-ups. Additional allowances require a separate order, do not unlock additional functions and follow the displayed purchase conditions; current monthly add-ons are assigned to the UTC calendar month in which payment is confirmed.
AI usage may occur even for incomplete responses. Uncertain provider results may temporarily retain a conservative reservation. Customers may request investigation; identified incorrect charges are corrected. This does not create an additional monetary charge without a separate order.
Usage allowances are distinct from separate feature subscriptions. External integrations may be included in the purchased plan or require a separately ordered monthly add-on subscription. The conditions displayed before ordering are decisive. Such an add-on is a separate contract or subscription component and does not automatically terminate solely because the base plan changes. An existing add-on must be cancelled through its cancellation function or in text form; section 13 clarifies requests that clearly seek termination of the entire account.
A recurring capacity add-on may also be offered for extra contacts and monthly QORLYNT messages. The number of additional blocks, price and billing interval follow the confirmed order. A reduction takes effect at the end of the paid period. Existing contacts are not deleted solely because a lower limit applies; new contacts may be blocked until usage complies with the applicable limit. External WhatsApp/Meta charges remain payable to the relevant provider.
6. Prices, payments and plan changes
Prices displayed on the QORLYNT website for plans and optional services include applicable VAT. The binding total price, billing interval and due date follow the agreement displayed before ordering and confirmed at purchase. Payments and subscription management may use Stripe.
Plan changes and add-on purchases become effective only through the specified confirmation/payment process. Price changes, proration, effective date and consequences for existing data or limits must be clear before confirmation. A local pending selection alone does not amend the contract.
Prices for an existing contract cannot be increased merely by changing this website. Increases require a valid contractual basis or agreement. Statutory late-payment rights remain unaffected; suspension is governed by section 12.
7. External accounts, provider terms and third-party fees
Customers need the accounts, rights and provider approvals required for their integrations. They may connect only accounts they are authorized to control and must comply with applicable provider terms. External suspensions, changes, limits and outages may affect connected functions.
In particular, WhatsApp/Meta fees are billed through the customer’s own WhatsApp Business/Meta account. A QORLYNT message allowance is not credit for Meta fees. QORLYNT provides no credit facility for them. Costs of the customer’s own mail, calendar, API or payment providers likewise remain the customer’s responsibility unless expressly included.
AI usage expressly included in a plan is not charged additionally merely because an external provider is involved. A separately connected customer API account follows that account’s own billing conditions. Telegram use without regular per-message surcharges does not remove QORLYNT limits or other applicable costs.
Use of external services does not release us from responsibility for our own contractual duties or the persons we engage to perform them.
8. Booking and messaging processes
Customers must maintain accurate opening hours, services, resources, staff assignments and external calendars. They must review synchronization errors before relying on availability. Reservations, verified requests, pending manual approvals, confirmations, waiting-list offers and completed bookings differ; a waiting-list offer does not necessarily reserve a slot. If manual approval is enabled, the customer must review requests in good time. A pending request occupies the QORLYNT slot until decided but becomes a confirmed booking and is transferred to connected calendars only after approval.
Private confirmation/management links are confidential. Mirrored appointments should be changed through the designated workflow; simultaneous edits across systems may cause conflicts. Customers must review uncertain outcomes before repeating an action.
Customers must ensure lawful service/marketing messages, required evidence and respect for objections. Calendar authorization, imports or starting a bot do not replace required marketing consent. Meta’s approval of a template is not legal approval to send it to every recipient.
QORLYNT cannot guarantee delivery or recipient response. Completed sends cannot reliably be recalled. Customers must provide appropriate alternative contact routes for time-critical matters.
The customer must hold the necessary usage and personality rights for images, media and other content. Uploaded images with a QORLYNT sharing link can be accessed without authentication by anyone who knows the link and are therefore unsuitable for confidential data. Reports of unlawful content or unauthorized image publication may be sent to support@qorlynt.com with the affected address, a reasoned explanation and a means of reply. Do not send unnecessary sensitive data. Statutory reporting, redress and complaint rights remain unaffected.
For external integrations, the customer configures permitted sources, recipients, field mappings and messaging rules and protects API tokens and signing keys. Generic integration templates do not promise a vendor-verified connection to a particular third-party program. The chosen messaging policy may allow only external triggers or combined triggers; failure of a source does not automatically trigger fallback messaging. Multiple deliberately enabled reminder rules can generate multiple messages. Statutory consent and objection requirements also apply to API and webhook triggers.
9. AI and automated actions
AI outputs may be incorrect, incomplete or unsuitable. Customers must review them in proportion to risk and inform affected people of AI use where required. QORLYNT does not replace legal, medical or other professional advice.
Staff-assistant write proposals require the specified confirmation. Enabled customer conversations may reply automatically within their configuration; booking/callback proposals follow required confirmation steps. This differs from general automations, which may execute external actions automatically once enabled by the customer.
Customers are responsible for their content, lawful data sources, configured workflows and appropriate human oversight. Unlawful surveillance, discriminatory or unlawful automated decisions and safety-critical controls outside expressly agreed suitable functions are prohibited. Our own performance, security and liability duties remain.
The applicable duties under Regulation (EU) 2024/1689 (the AI Act) also apply to AI systems. In direct AI customer conversations, interaction with AI must be clearly distinguishable no later than the first interaction, unless a statutory exception applies. Provided AI labels must not be removed or misleadingly obscured. A notice only in these terms or the privacy policy does not replace a required conversational notice. Within their respective roles, the parties ensure an appropriate level of AI literacy for persons involved in operation. This does not transfer Smart TB Tech’s own provider obligations to the customer.
10. Data protection, confidentiality and backups
Before processing personal operational data on behalf of a customer, an Article 28 GDPR agreement including processing, TOM and specifically approved subprocessor annexes must be verifiably concluded; the public template is at https://www.qorlynt.com/en/dpa. It covers instructions, assistance with rights and incidents, and return/deletion. Customers remain responsible for the lawfulness of their processing, notices and necessary consent. A mere link or checkbox without an available and recorded contract version does not conclude the agreement.
Special-category data and professionally protected secrets may be processed only where legal requirements and suitable contractual/technical arrangements are met. General product marketing does not promise such suitability.
Both parties must protect confidential information against unauthorized access and disclose it only to authorized persons for appropriate purposes. Legally required disclosures remain permissible. The duty survives termination while information remains confidential.
Customers should regularly safeguard essential content using available export routes. This does not replace our agreed backup duties or limit mandatory rights. Without specific agreement, QORLYNT is not a statutory immutable archive.
11. Operations, maintenance and service changes
We provide the agreed service with appropriate technical and organizational care. Specific uptime, response/recovery times or staffed 24-hour support apply only if expressly agreed. Material planned interruptions are announced reasonably in advance; urgent security measures may require action without advance notice.
Technical changes for security, correction, legal compliance or compatibility are permitted where reasonable and preserving the agreed purpose and essential functions. This does not authorize arbitrary reductions in paid services or price increases.
If an essential function cannot be maintained equivalently, we inform customers about consequences and possible remedies. Material adverse contractual changes require a valid agreement; statutory reduction, termination and damages rights remain unaffected. Silence alone does not constitute acceptance.
12. Abuse, late payment and suspension
We may temporarily restrict affected functions where necessary and proportionate to address concrete security threats, unlawful use or material breaches. For late payment, suspension generally follows a reminder and reasonable cure period warning of suspension, unless otherwise legally permitted or justified by particular circumstances.
Where possible and lawful, we explain the reason/scope and allow a response or remedy. Immediate action may be required for an acute threat. Restrictions are lifted when their reason ceases.
Suspension is not automatic deletion. Statutory data-subject rights and mandatory access or switching rights are not excluded.
13. Term, cancellation and contract end
Term, renewal and ordinary notice periods follow the conditions expressly disclosed before ordering and agreed. A minimum commitment or automatic renewal is not inferred solely from general product descriptions. Statutory termination rights and termination for cause remain unaffected.
Cancellation may be submitted without signing in through “Cancel contracts here” in the legal footer, through the available subscription administration or in text form to support@qorlynt.com. Identify the organization/account. Cancellation is not invalid merely because a portal is temporarily unavailable. We confirm the effective end date.
Disconnecting an integration, deleting a contact, signing out or requesting deletion alone is not automatically subscription cancellation. Customers may request both cancellation and deletion in one message. Conversely, cancellation does not immediately delete all data. Return, export, statutory retention and necessary closing processes are considered before final deletion.
Requests are interpreted according to their evident meaning. Where an authorized customer clearly requests final closure of their entire paid platform account and cessation of use, we also treat that request as cancellation at the earliest permissible date. If the scope is unclear, we ask for clarification; an additional declaration using a specific keyword is not required. Specific termination rights in a provider switch under section 14 take precedence.
14. Data return and provider switching
Customers may use the complete export of retained business data, including files, in Settings. Contact CSV remains available separately. Data areas, field register, formats, interface, exclusions and verification tool are described at https://www.qorlynt.com/en/data-act; the public technical register is available at https://www.qorlynt.com/api/catalog/data-export. Additional return or switching requests, secure transfer and necessary assistance can be coordinated at support@qorlynt.com.
To the extent QORLYNT is subject to Chapter VI of Regulation (EU) 2023/2854 (Data Act) as a data processing service, its mandatory switching rights apply, including requirements on periods, assistance, retrievable data and charges. Contractual or technical restrictions must not exclude those rights. Specific switching information must be available before contract formation.
Exportable customer data generally includes customer-provided and usage-generated attributable data and digital assets to the extent covered by law. Other tenants’ data, protected internal software and trade secrets that may lawfully be excluded are not included. Credentials generally need to be configured again in a new system. Export does not guarantee automatic functional equivalence of another platform.
After necessary return and applicable retrieval periods, data due for deletion is removed under the processing agreement and law. Any records retained solely for legal reasons remain purpose- and access-restricted.
For a switch covered by the Data Act to another provider or to on-premises IT infrastructure, the notice period is no more than two months from notification of the request to switch. The switch then takes place without undue delay within a transitional period of no more than 30 calendar days. If this is technically unfeasible, we must provide a justified explanation within 14 working days of the switching request and specify an alternative transitional period of no more than seven months. The customer may extend the transitional period once for a period appropriate to their purposes.
During the transitional period, the service remains available under the contract. We provide reasonable assistance, explain known risks to business continuity and maintain the required data security. The customer identifies the target system or new provider and provides necessary cooperation. The affected service contract ends on successful completion of the switch, and we notify the customer of termination. If the customer instead chooses erasure of exportable data and digital assets on service termination without switching, the contract ends at the end of the applicable notice period in accordance with Article 25(2)(c) Data Act.
After the transitional period, the covered data remains available for retrieval for at least another 30 calendar days. Following successful switching and expiry of that retrieval period or an agreed longer period, exportable data and digital assets must be fully erased unless overriding statutory retention obligations apply. Missing self-service features do not restrict these rights. The data categories, formats, interfaces, excluded internal data and switching procedures applicable to the contracted services must be specified before contract formation; contact CSV export alone does not meet this obligation.
Until 11 January 2027, legally permissible switching charges must not exceed costs directly linked to switching and must be transparently agreed in advance. This clause itself creates no additional charge. From 12 January 2027, no switching charges are imposed for a switch covered by the statutory rules. Ordinary service fees until contract termination are distinct. Mandatory free interface and export obligations remain unaffected.
15. Defects, incident reporting and liability
Statutory remedies apply to defects unless validly agreed otherwise. Customers should report material incidents with understandable details to support@qorlynt.com and reasonably assist investigation. Credentials and unnecessary personal content must not be transmitted without protection.
Liability is unlimited for intent and gross negligence, injury to life, body or health, fraudulent concealment, expressly assumed guarantees within their scope, and mandatory law, particularly the German Product Liability Act.
For slightly negligent breach of an essential contractual duty, liability is limited to typical damage foreseeable at contract formation. Essential duties are those enabling proper performance and on which customers may ordinarily rely. Other liability for slight negligence is excluded to the extent legally permissible.
These provisions also protect our legal representatives and persons engaged to perform our obligations. Mandatory data-subject claims are not restricted. Customer contributory responsibility is assessed solely under statutory rules; all provider/system risks are not transferred to customers wholesale.
16. Law, jurisdiction and final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For merchants, legal entities under public law and special funds under public law, our registered office is the agreed venue to the extent lawful. Statutory jurisdiction applies to other customers.
These terms are provided in German and English. To the extent lawful and unless otherwise agreed, the German version prevails for interpretive differences. Individual agreements retain precedence regardless of language.
An invalid provision leaves other provisions unaffected as provided by law; the statutory rule replaces it. Publishing amended terms does not alone incorporate them into existing contracts.
